NORTHCLAIM SERVICE AGREEMENT
This Service Agreement ("Agreement") is entered into as of ___________ by and between:

1. Scope of Services
NorthClaim agrees to provide the following services related to Canadian Citizenship by Descent under Bill C-3, An Act to amend the Citizenship Act (2025), which removed the first-generation limit on citizenship by descent:
a) Research and verification of the Client's ancestral lineage to confirm that a Canadian anchor exists in the Client's direct line of descent.
b) Identification, location, and procurement of all required vital records including but not limited to: birth certificates, marriage certificates, death certificates, and immigration documents from Canadian and U.S. government agencies.
c) Preparation and organization of a complete citizenship application package ready for submission to Immigration, Refugees and Citizenship Canada (IRCC). The delivered package includes: the completed IRCC citizenship application form, all obtained supporting vital records (birth, marriage, death, and immigration certificates), a documented family tree tracing the Client's direct line of descent from the Canadian anchor, and a cover letter explaining the lineage and supporting evidence.
2. Important Limitations & Disclaimers
a) NorthClaim is NOT a law firm, immigration consultancy, Regulated Canadian Immigration Consultant (RCIC), or licensed legal service provider. We provide genealogical research and document procurement services only — we do not provide legal advice or represent clients before IRCC.
b) We do not submit the citizenship application on your behalf. The final application must be submitted by the Client directly to IRCC.
c) We do not guarantee the approval of your citizenship application by IRCC. Approval decisions are solely at the discretion of the Canadian government.
d) We do not guarantee specific timelines for obtaining government-issued records, as processing times vary by jurisdiction.
e) If the Client has concerns about their legal eligibility for Canadian citizenship by descent, we recommend consulting with a licensed Canadian immigration lawyer or Regulated Canadian Immigration Consultant (RCIC). NorthClaim can provide referrals upon request.
3. Service Fee
The total service fee is $2,000 USD, payable as follows:
First Payment — $1,000 USD: Due upon signing this Agreement. This payment initiates our record verification and procurement process.
Second Payment — $1,000 USD: Due upon NorthClaim's completion of the application package and notification to the Client. The Client's obligation to pay this amount accrues upon completion, regardless of whether the Client chooses to accept delivery, submit the application to IRCC, or proceed further with the citizenship process. NorthClaim will release the completed package to the Client upon receipt of full payment. Payment is due within fourteen (14) days of completion notification.

4. Verification Period & Eligibility Guarantee
7-Day Initial Verification: Within the first 7 days of this Agreement, NorthClaim will perform an initial review to confirm that a Canadian anchor exists in the Client's direct line of descent and that the required vital records appear obtainable.
Eligibility Guarantee — Full Refund Any Time We Determine You Cannot Qualify: If at any point during NorthClaim's work — whether during the initial 7-day verification or later during records procurement — NorthClaim determines in good faith that the Client cannot qualify for Canadian citizenship by descent under Bill C-3 (for example: required vital records cannot be located after reasonable effort, a break in the lineage chain is discovered, the Canadian anchor cannot be substantiated, or the lineage does not meet IRCC's documentation standards), the Client will receive a full refund of all amounts paid to NorthClaim. This guarantee applies for the entire duration of NorthClaim's work on the Client's case, not just the initial 7-day window.
Non-Refundable Otherwise: Outside of NorthClaim's good-faith determination that the Client cannot qualify, all payments are non-refundable once the 7-day verification period has ended and work has commenced. The Client cannot terminate this Agreement for personal reasons (e.g., change of mind, change of plans, no longer wanting to pursue citizenship) and receive a refund; see Section 9 for client-initiated termination terms.
Determination Documented: NorthClaim will provide written notice to the Client (by email or via the Client Portal) explaining the basis for any determination that the Client cannot qualify, along with the refund amount and method.
5. Estimated Timeline
Record Verification: 7 days from Agreement date
Vital Record Procurement: 6 to 9+ weeks
Application Package Preparation: 1 week after all records received
Estimated Total: 8 to 12+ weeks from Agreement date
These timeframes are good-faith estimates only and are not guaranteed. Vital record procurement depends on government and archival processing times, which are outside NorthClaim's control, vary by jurisdiction, and change frequently. Delays in obtaining records caused by government agencies do not constitute a breach of this Agreement.
6. Client Responsibilities
The Client agrees to:
a) Provide accurate and complete personal and family information as requested.
b) Respond to communications and requests for information in a timely manner.
c) Provide any existing vital records or documents that may assist the process.
d) Submit the completed application to IRCC independently after receiving the package.
7. Confidentiality
NorthClaim agrees to keep all Client information confidential and will not share personal details with third parties except as necessary to procure vital records from government agencies on the Client's behalf.
8. Limitation of Liability
NorthClaim's total liability under this Agreement shall not exceed the total fees paid by the Client. NorthClaim is not liable for delays caused by government agencies, missing or destroyed records, or IRCC application decisions.
9. Termination
By Client (Within Verification Period): The Client may terminate this Agreement without further obligation only during the 7-day verification period, by written notice. If NorthClaim has confirmed that the required records exist (per Section 4), the verification period is deemed complete and this option is no longer available.
By Client (After Verification Period): After the 7-day verification period ends, work is deemed to have substantially commenced. The Client may not unilaterally terminate this Agreement. The initial payment is non-refundable AND the Second Payment becomes due and owing in full upon NorthClaim's completion of the application package, regardless of whether the Client chooses to accept delivery, submit the application to IRCC, change citizenship plans, or proceed further with the citizenship process. The Client's payment obligations under Section 3 survive any attempted termination by the Client after the verification period.
By NorthClaim: NorthClaim may terminate this Agreement upon written notice if the Client fails to respond to communications for 30+ days, provides false or materially incomplete information, or breaches any provision of this Agreement. In such cases, NorthClaim shall retain all payments received, and any amount that would have accrued through completion remains due and owing.
Late Payment Administrative Fee: If the Second Payment is unpaid 14 days after notification of completion, the Client agrees to pay a one-time administrative processing fee of $100. This fee is fixed, does not accrue or grow over time, and reflects NorthClaim's actual administrative cost of late-payment handling — it is not a charge on the unpaid principal.
Collection of Unpaid Amounts: If NorthClaim must engage collections, legal counsel, or other recovery services to recover any amount unpaid more than 14 days after invoice or notification of completion, the Client agrees to reimburse NorthClaim for all reasonable costs of collection, including attorneys' fees and court costs. No interest will be charged on unpaid balances.
10. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the State of Delaware, United States.
11. Entire Agreement
This Agreement constitutes the entire agreement between the parties and supersedes all prior discussions, agreements, or understandings of any kind.
